Representing and Managing

UAE offers almost every type of business. Investors can setup their business in the mainland or in a free zone under certain jurisdictions. Several trades can be established under different sectors such as engineering, oil and gas, retail, trade and logistics, tourism, education, hospitality, real estate and construction, advertising, market research, technology, media and entertainment, manufacturing, automotive, arts and much more.

LSA or Local Service Agent is a UAE national who assists foreign investors in the licensing requirements and other matters related to the registration of the business in the UAE government. LSA has no civil or financial obligations to the business, but LSA ensures that the company is continuously operating its business in the UAE. LSA has no legal interest in the management, profits or assets of the company that it serves.​

The company types that need an LSA are professional type sole establishment, civil company with no engineering activity and a foreign company branch. For GCC nationals, they can be a partner in any form of business except if it is a representative office and a simple commandite companies.

The UAE government is requiring companies to have any of the following licenses before they can operate in the country:

  • A commercial license for all kinds of trading activities
  • An industrial license for any kinds of industrial or manufacturing activities
  • A professional license for professionals, servicemen, craftsmen, and artisans.

In order for your trade name to be approved by the authority, the following restrictions are implemented:

  1. Trade name must not violate the public morals or the public order of the country
  2. It must be followed by the legal form of the company such as LLC, EST, PJSC, PrJSC
  3. It must not have been registered prior to the registration application
  4. It is compatible with the required type of activity and the legal status of the company
  5. It does not contain names of any religion, or governing authority, nor names or logos of any external bodies.

Trade names must be registered prior to the end of the booking period as it may be subjected for cancelation. Investors can also change their trade name under a special resolution, provided that the change shall not affect the company's rights and obligations.

The following companies can start a business in the UAE with a national partner:

  • Limited Liability Companies (LLC)
  • Public Joint Stock Companies (PJSC) with at least 5 founding members who are UAE nationals, owning between 30% and 70% of the capital shares.
  • Private Joint Stock Companies
  •  Civil company with an engineering activity

A free zone is an area in the UAE that works under its own regulations. It has a special tax, customs and imports regime. The free zone investors have a 100% business ownership, a 100% import and export tax exemptions, 100% repatriation of capital profits, a corporate tax exemption, an exemption on from personal income tax and capital gain tax, no restriction on currency movements, etc.

Investors who are in the fields of financial, educational, retail, hospitality, media, manufacturing, warehousing etc. can start their business in the UAE designated free zones. Currently, there are 44 free zones in the country.

Businesses under the free zone jurisdiction should have obtained any of the following licenses, corresponding to their business activity:

  • A general trading license for trading all kinds of products.
  • A trading or commercial license which has a time limit authorization to perform industrial, commercial or consulting activities.
  • A service license for legal, accountancy and business consultancy activities
  • An industrial license for importing raw materials, manufacturing goods, and exporting products
  • A warehousing license for getting on leased warehouses for distribution, packaging, and storage of goods.
  • A manufacturing license to manufacture goods.
  • Passport copy of the shareholders with at least 6 months’ validity.
  • Recent Utility bill in the name of the applicant for the proof of residence.
  • Bank reference letter.
  • CV of the shareholders.
  • Application signed (we will prepare).
  • MOA & AOA signed (we will prepare).
  • Four trade name suggestions.
  • UAE entry stamp on the passport.

 

To start a business in a free zone below mentioned are the basic documents required:

  1. Passport copy of the shareholders.
  2. Passport size photographs with white background.
  3. 2 – 3 suggested names for the new company.
  4. Specify the required activity
  5. Number of visas required

OBTAINING AN ENTRY PERMIT

Required Documents:

  • Online Visa application form duly filled out and signed by the company’s authorized signatory with company stamp.
  • Two passport copies of the applicant (passport must be valid for at least 6 months)
  • Two recent passport size- colored picture with white background
  • Valid company trade license copy
  • Copy of the offer letter
  • Two copies of attested diploma (High School, College, Graduate or Post-Graduate, whichever applies) (optional: Arabic translation with legal translator stamp)
  • Copy of valid company lease agreement.
  • Good conduct certificate (for first-time workers in UAE only)
  • Police Clearance attested by the UAE Embassy (for first-time workers in UAE only)

 

VISA STATUS CHANGE (UTILIZING ENTRY PERMIT WITHOUT EXITING THE UAE, IF APPLICABLE)

Required Documents:

  • Copy of the visa application form submitted for Entry Permit and signed by the company’s authorized signatory with company stamp.
  • Original Passport of the applicant (must be valid at least 6 months).
  • Original unutilized and unexpired Entry Permit.
  • Copy of the Visa Cancellation in case the applicant has canceled his/her previous employment visa or a copy of the Visit Visa in case the applicant is in the UAE on a Visit Visa.
  • Copy of valid company lease agreement.
  • Copy of the offer letter
  • Two copies of attested diploma (High School, College, Graduate or Post-Graduate, whichever applies) (optional: Arabic translation with legal translator stamp)
  • Two recent passport size- colored picture with white background
  • Good conduct certificate (for first-time workers in UAE only)

For large format, we can use canvas, claycoat, corrugated, foamcore, vinyl, acrylic, canvas mesh etc.

Taxation

Documents required for VAT registration

To register for VAT in UAE, businesses must complete the required documents. The process for VAT registration and fee submission will be done online. Following documents are required for the registration of VAT in UAE.

  1. Copy of Trade License (should not be expired)
  2. Passport copy of the owner/partners who owns the license
  3. Copy of emirates ID of the owner/partners who owns the license
  4. Memorandum of Association (MOA) (not necessary for sole establishments)
  5. Contact Details of company (complete address & P.O Box)
  6. Concerned person contact details (Mobile Number, E-mail)
  7. Bank Details (Account Number, Account Name, Bank Name, Branch Name & IBAN)
  8. Owner has any other entities?
  9. Income statement for the last 12 months (should be signed & Stamped)
  10. Expected revenue and expense for the next 30 days after VAT implementation
  11. Are they exporting or importing?
  12. Are they dealing with any custom department? If yes, then attach VAT Registration Letter.
  13. Are they doing business with any GCC country? (Country name)
  14. If they are representing more than one entity, whether they want one tax group number for all the entities or separate tax numbers for each

Since January 1, 2018, Value Added Tax or VAT has been implemented in the UAE. Only registered companies and traders can charge VAT to all their customers at the prevailing rate and incur VAT on goods/services that they buy from suppliers.

All VAT-registered businesses can charge VAT on taxable goods or services they give to their customers. They can also reclaim any VAT on business-related goods or services that they have paid. Companies which are VAT registered must keep their records on all of their transactions for government checking purposes.

It is the responsibility of the VAT registered companies to report, on a regular basis, the amount of VAT that has been charged to the customers and the amount of VAT that has been paid to the government.

Reporting will be done online.

Companies that charged more VAT than they have paid, the difference must be paid to the government.

Companies that paid more VAT than they have charged to the government, the difference can be reclaimed.

All businesses in the UAE that meet the VAT threshold are required to register for VAT in the Federal Tax Authority (FTA). There are two types of VAT registration in which a company or an individual may fall on the VAT threshold:

1. Mandatory registration is for companies residing in the UAE that have a collective value of supplies or turnover that exceed AED 375,000 for the past 12 months and/or expecting to exceed this amount in the next 30 days. Additionally, non-residents are required to register for VAT, regardless of the threshold limit.

2. Voluntary Registration is a voluntary basis for any resident business in the UAE that does not fulfill the threshold for mandatory registration, but their annual taxable supply value is AED 187,500 (50% of the mandatory registration threshold) or more.

 

The FTA is issuing the VAT certificate to all the companies that have been successfully registered in the authority. The certificate is valid for one year from the date mentioned by the company.

VAT Return Filing Period

The standard period to file for the VAT return is every quarter, but there are certain types of businesses that the FTA may require to file the VAT return every month in order to reduce the risk of tax evasion and improve the monitoring of compliance by the businesses.

Filing VAT Returns

Companies are required to submit a VAT return every VAT period. The VAT return must contain details regarding the sales and expenses of the company.

 

Companies in the UAE that make only zero-rated supplies or do not fall in the mandatory registration threshold of AED 375,000 are not required to register for VAT or have a Tax Registration Number.
